1. Introduction & Acceptance

Welcome to NexusFlux.cloud (“Company”, “we”, “us”, “our”), a sole proprietorship registered at Qasba Maker, Chapara, Bihar, India. These Terms and Conditions ("T&C") govern your access to and use of our website, software, AI Agents, APIs, and related services (collectively, the "Service").

By creating an account, clicking “I agree,” or by accessing or using the Service, you (“User”, “Client”) affirm that you have read, understood, and agree to be bound by these T&C. If you are using the Service on behalf of an organization or entity, you represent and warrant that you have the authority to bind that entity to these T&C. If you do not agree, you must not access or use the Service.

We reserve the right to modify these T&C at any time. We will provide notice of significant changes by email or through the Service dashboard. Continued use of the Service after such changes constitutes your acceptance of the new T&C.

2. Services Provided & Availability

NexusFlux provides AI-powered automation tools and WhatsApp AI Agents for B2B professionals on a subscription basis (as described on our website).

We will use commercially reasonable efforts to make the Service available 24/7, but we do not guarantee 100% uptime. The Service may be subject to limitations, delays, and other problems inherent in the use of the internet, electronic communications, and third-party dependencies (e.g., Meta API downtime). We are not responsible for any delays, delivery failures, or other damage resulting from such problems.

3. Account Registration & User Conduct

  • Accurate Information: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate.
  • Security: You are responsible for safeguarding your login credentials and API keys. You are solely responsible for all activities that occur under your account, whether or not you authorized them. You must notify us immediately of any unauthorized use.
  • User Conduct: You are solely responsible for all data, content, and communications transmitted via your account. You agree not to use the Service to transmit any content that is unlawful, harmful, defamatory, obscene, or that infringes on any third-party rights (including privacy and intellectual property).

4. Use of AI & Third-Party Integrations

Our Service relies on integrations with Third-Party APIs, including but not limited to Meta (WhatsApp), Google Sheets, and Google Calendar.

Third-Party API Disclaimer: NexusFlux is a technology platform that facilitates communication and automation. We do not control and are not liable for the operation, availability, security, or policies of any Third-Party API. You acknowledge that your use of these integrations is subject to the terms and policies of the respective third-party providers.

5. Subscription, Billing, and Payment

All plans are billed in advance on a monthly or annual basis. Subscriptions will automatically renew unless canceled. All payments are final and non-refundable, except as explicitly stated in our Refund Policy.

6. Intellectual Property

NexusFlux retains all rights, title, and interest in and to the Service, AI models, algorithms, and documentation. You are granted a limited, non-exclusive license to use the Service during your subscription term.

7. Limitation of Liability

To the maximum extent permitted by law, NexusFlux shall not be liable for any indirect, incidental, or consequential damages arising from the use of the Service or reliance on AI-generated content.

8. Governing Law

These T&C shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Patna, Bihar.
